1. About These Terms
These Terms of Service ("Terms") govern access to and use of the 360Frontdesk platform and related services (the "Service"), provided by 360Frontdesk FZE, United Arab Emirates, Trade License No. 262274277888 ("360Frontdesk", "we", "our", or "us").
By accessing, registering for, or using the Service, you ("Clinic", "Customer", "you", or "your") agree to be legally bound by these Terms.
If you are accepting these Terms on behalf of a clinic, medical center, company, or other legal entity, you represent and warrant that you have authority to bind that entity.
2. Description of the Service
360Frontdesk provides AI-assisted patient communication and clinic workflow tools, including but not limited to:
- WhatsApp-based automated patient communication
- Appointment booking and reminders
- FAQ and information responses
- Lead capture and follow-up automation
- Human escalation workflows
- Analytics and operational dashboards
The Service may integrate with third-party providers including Meta Platforms, Inc. (WhatsApp), 360dialog, OpenAI, Supabase, Google Calendar, HubSpot, and other infrastructure or communication providers.
We may update, improve, modify, or discontinue features from time to time.
3. Eligibility and Compliance
You represent and warrant that:
- you are legally authorized to operate your clinic or healthcare business in the United Arab Emirates;
- you comply with all applicable UAE healthcare, advertising, telecommunications, and data protection laws and regulations;
- you have all necessary patient consents and lawful bases required to process patient communications through the Service;
- your use of the Service complies with all applicable DHA, DOH, MOHAP, and other healthcare authority requirements where applicable.
You acknowledge that you remain solely responsible for all medical, clinical, healthcare, and treatment-related decisions.
4. Account Responsibilities
You are responsible for:
- maintaining the confidentiality and security of your login credentials;
- ensuring the accuracy of clinic, staff, and patient information uploaded to the Service;
- all activity conducted through your account;
- promptly notifying us of any unauthorized access or security incident.
You must not share account access with unauthorized persons.
5. Subscription Plans, Fees, and Billing
Fees are charged in UAE Dirhams (AED) unless otherwise agreed in writing and are exclusive of applicable VAT or governmental charges.
The Service may include:
- one-time setup and onboarding fees;
- recurring monthly or annual subscription fees;
- optional add-on services or integrations.
Invoices are payable within fourteen (14) calendar days from the invoice date unless otherwise agreed in writing.
Failure to make payment may result in:
- suspension of Service access;
- restriction of features;
- termination of the account after reasonable notice.
All fees paid are non-refundable except where required under applicable UAE law or expressly stated otherwise in writing.
6. Trial Period
New customers may receive a seven (7) day trial period unless otherwise agreed in writing.
During the trial:
- the Service is provided on an "as-is" and "as-available" basis;
- certain features or integrations may be limited;
- uptime and support commitments do not apply.
You may discontinue use at any time during the trial period without charge.
7. Acceptable Use
You agree not to use the Service:
- in violation of applicable UAE laws or regulations;
- in violation of Meta's WhatsApp Business Policies or Commerce Policies;
- to send spam, unsolicited, deceptive, abusive, or unlawful communications;
- to impersonate another person or organization;
- to provide unauthorized medical diagnoses or emergency medical services;
- to upload malicious code or attempt unauthorized access to systems or data;
- to interfere with the operation or security of the Service.
We reserve the right to suspend accounts engaging in prohibited or harmful activity.
8. Patient Data and Privacy
As between the parties, you retain ownership of your clinic data, patient records, communications, and uploaded content.
You appoint us as a data processor/service provider solely for the purpose of providing the Service.
You acknowledge and agree that:
- patient communications may be processed through third-party providers;
- AI-generated responses may not always be accurate or complete;
- human review may still be required for clinical or sensitive communications.
We implement commercially reasonable technical and organizational measures to protect data; however, no system can be guaranteed completely secure.
You are responsible for obtaining all necessary patient notices and consents required under applicable law.

9. AI and Automation Disclaimer
The Service uses artificial intelligence and automated systems to assist with patient communication and workflow automation.
The Service:
- is not a licensed medical professional;
- does not provide medical diagnosis or emergency services;
- should not be relied upon for urgent or life-threatening situations.
Clinics remain solely responsible for:
- patient care;
- medical advice;
- treatment decisions;
- appointment management;
- regulatory compliance.
You should implement appropriate human oversight procedures.
10. Service Availability
We aim to provide reliable service availability; however, uninterrupted or error-free operation is not guaranteed.
Service availability may be affected by:
- third-party provider outages;
- internet or telecommunications failures;
- maintenance;
- force majeure events;
- WhatsApp platform restrictions or changes.
Any service level commitments applicable to enterprise customers shall be governed by separate written agreements or SLA addenda.
11. Intellectual Property
All intellectual property rights in the Service, including software, branding, interfaces, workflows, documentation, and platform materials, remain owned by 360Frontdesk and/or its licensors.
These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during an active subscription period.
You may not copy, reverse engineer, resell, sublicense, or commercially exploit the Service without prior written consent.
12. Confidentiality
Each party agrees to protect confidential information disclosed by the other party and to use such information solely for purposes related to the Service.
Confidential information does not include information that:
- becomes publicly available through no breach;
- was lawfully known prior to disclosure;
- is independently developed;
- or is required to be disclosed by law or regulatory authority.
13. Limitation of Liability
To the maximum extent permitted under applicable UAE law:
- the Service is provided on an "as-is" and "as-available" basis;
- we disclaim all implied warranties to the extent legally permissible;
- we shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, patients, business opportunities, or goodwill.
Our total aggregate liability arising from or relating to the Service shall not exceed the total fees paid by you during the twelve (12) months preceding the claim.
Nothing in these Terms excludes liability where exclusion is prohibited under applicable law.
14. Indemnification
You agree to indemnify and hold harmless 360Frontdesk, its directors, employees, contractors, and affiliates from claims, damages, liabilities, fines, or expenses arising from your misuse of the Service; violation of applicable laws or regulations; patient disputes or complaints; unauthorized or unlawful communications; or clinical decisions or healthcare outcomes.
15. Suspension and Termination
We may suspend or terminate access to the Service immediately where reasonably necessary to comply with law or regulatory obligations, prevent security threats or abuse, address non-payment, or prevent harm to the platform or other customers.
You may terminate your subscription at any time; however, fees already paid remain non-refundable except as required by law.
Upon termination:
- access to the Service may cease;
- certain data retention periods may apply;
- we may delete data in accordance with our retention policies and applicable law.
16. Changes to These Terms
We may update these Terms from time to time.
For material changes, we will provide reasonable advance notice through email, dashboard notification, or other reasonable means.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai.
Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
18. Force Majeure
We shall not be liable for delay or failure to perform resulting from causes beyond our reasonable control, including acts of government, internet failures, telecommunications outages, cyberattacks, labor disputes, pandemics, natural disasters, or failures of third-party platforms or providers.
